• Assisting clients in issuing stock and other equity and in keeping their corporate minute books, filings and business qualifications up to date.

• Negotiating and preparing many types of business agreements, including employment, consulting, non-competition agreements, stock option and phantom stock agreements, deferred compensation and salary continuation agreements, incentive stock plans, non-disclosure agreements, commercial leases, management agreements, and licensing and distribution agreements (including software and hardware sale, and licensing and product royalty arrangements).

• Preparing, revising, and refining the standard business contracts used by many of our clients, addressing warranty, service, financing, and limitation of liability issues.

• Assisting clients in putting together complex joint ventures for joint research and development projects, licensing and distribution arrangements and joint sales efforts.

• Assisting clients with their financing needs, frequently reviewing loan documentation, from ordinary lines of credit to complex commercial loan facilities and venture capital arrangements.

• Drafting operating or shareholder agreements, including buy/sell provisions. Negotiating and preparing business separation agreements.
